    Professional Experience
    Lee is a member of the Beverly Hills Bar Association, California Society of Certified Public Accountants and American Institute of Certified Public Accountants. He is also a member of the Business Law and Real Property Sections of the American, California and Los Angeles County Bar Associations.

    Lee has represented clients in all phases of the organization and operation of privately held businesses. The representative transactions in which Lee has been involved include the following:

    • Represented a corporation in restructuring its capital in order to reward and provide incentives to management. The founding shareholders desired to admit additional shareholders, and were willing to give up equity, but not control in the corporation. A second class of nonvoting common stock was designed to sell to key management personnel in order to give them an opportunity to share in the future appreciation of the company. Additional agreements were prepared requiring the sale of the stock back to the company in the event of their termination.

    • Represented shareholders of a supermarket company in organizing a plan to limit liability by placing different supermarket operations in separate corporations.

    • Represented an advertising agency in attracting a high level advertising executive with an incentive employment agreement and stock purchase agreement.

    • Represented one of two equal shareholders in the buy out of the other shareholder of an aircraft parts business.

    • Represented a CPA firm in the preparation of its partnership agreement and transactions involving the retirement of existing partners and the admission of new partners to the partnership. Additionally represented the partnership in the purchase of an office building to serve as its offices, and a partnership agreement regarding the individual partners' rights and obligations in the ownership of the building.

    • Represented a trucking company in the development of agreements with management personnel which would allow the owners of the company to implement an exit scenario and ensure the continued existence of the company and the funding of the buy out of their ownership.

    • Represented an individual in the purchase of a major sporting goods importing and distribution company.

    • Represented an equipment manufacturing company in the preparation of distributorship agreements for national distributors with specified territories.

    • Represented a large medical clinic in connection with a long fought battle by a minority shareholder which ultimately resulted in the minority shareholder returning his shares to the corporation without compensation.

    • Represented four individuals in the purchase of a television production studio from a large corporation. The transaction involved agreements between the four individuals, as well as agreements between the seller and the corporation established by the four individuals for the purchase and financing of the studio.

    • Represented a law firm in the dissolution of the firm, including being appointed by the Superior Court as a provisional director to resolve disputes between the shareholders.

    • Represented a manufacturer of industrial parts in connection with the purchase of a similar manufacturing division of a large public company, including agreements to fulfill the future parts requirements of the seller.

    Lee is the author of several business and tax related articles, including: “Corporations Don’t Always Come Out Ahead in Nevada,” Los Angeles Business Journal (May 2000); “Adding Small Shareholders Changes Corporate Picture,” Los Angeles Business Journal (July 26, 1999); “A Pay Plan Curbs Partner Spats,” The National Law Journal (November 16, 1998); “Getting the Upper Hand in Lease Renewal Negotiations,” Law Firm Partnership and Benefits Report (June 1996); and “Limited Liability Partnerships for Lawyers,” Los Angeles Lawyer (February 1996).

    Lee has also been frequently quoted regarding business and management issues for such publications as Nation’s Business, Lawyers Weekly USA, Law Office Administrator, Accounting for Law Firms, and Law Firm Partnership and Benefits Report.

    He has lectured for discussion groups of the California Society of Certified Public Accountants and accounting firms on business related tax topics such as “New Accountants’ Commissions Law,” “Tax Ramifications of Foreclosure,” and “Property Taxes – Not an Afterthought.”

    Education
    Lee received his J.D. from the University of California at Los Angeles in 1975. He became a Certified Public Accountant in California in 1976 (inactive). He graduated with a B.S. in Accounting and Finance from the University of Southern California in 1972.
