Areas of Practice Business Professional Experience Adam's practice focuses on assisting closely-held businesses in all aspects of their operations, including formation, contracts review and drafting, confidentiality and non disclosure agreements, employment agreements, preparation of partnership agreements, formation and operations of limited liability companies and representation of buyers and sellers of closely held mid sized businesses. Prior to joining the firm, Adam was an associate with the Los Angeles office of Loeb & Loeb, where he assisted with general corporate transactions, mergers and acquisitions, and securities issues. His experience at Loeb & Loeb included: structuring and documenting asset sales, stock sales, merger transactions, spin-offs, employment and consulting arrangements, warrants, registration rights agreements, lockup agreements, stock option plans, real property leases, confidentiality agreements, stockholders' buy-sell agreements, escrow agreements, settlement and release agreements, license agreements and joint ventures. In addition, he gained familiarity with forming start-up and other entities, including corporations, limited liability companies and partnerships. Previously, Adam was an associate in the Transactional Practice Group at Musick, Peeler & Garett of Los Angeles. During this time, his primary focus was structuring, documenting and amending qualified and nonqualified employee benefit plans, employee stock ownership plans, employee welfare plans, deferred compensation and other executive compensation related matters for profit, nonprofit and governmental entities. Education Adam received a B.A. in Economics from the University of Michigan in 1995. He earned his J.D. from Loyola Law School of Los Angeles in 1998.
